  1. SCOPE

1.1 Keepser Group SL (hereinafter, Keepser Group) provides an online shopping service where users may purchase exclusively distributed (hereinafter, Products) on its website www.keeper.com (hereinafter, the Website).

The particular conditions that regulate product orders are contained on this website: www.keepser.com, hereinafter "the WEBSITE,” of which Keepser is the owner:

1.2 These terms and conditions (hereinafter, T&Cs) are contractual conditions between Keepser Group and a Customer, after confirmation of the Customer's purchase order. These T&Cs can be found on the website.

The term "Customer" means any physical person or entity placing an order on the Website, whether the purchased Product is shipped to this Customer or not.

1.3 By placing an order on the Website, the Customer declares and warrants that he or she is over the age of 18, has full legal capacity and accepts these T&Cs without restrictions or reservations. If you are under 18 years old, you need the express authorization of your legal guardian.

Keepser Group makes every effort to ensure that this information is accurate.

Keepser Group is free to initiate and terminate any "special offer," "promotion," "discount," or other sales or marketing operation, without any obligation to make it last longer than it determines, as well as to modify the characteristics according to the regulatory restrictions of the countries to which the products are exported.

KEEPSER must comply with all export and re-export restrictions of certain countries, and these restrictions apply to goods, software, technology, and services.

 

  1. PURCHASE PROCEDURE

The purchase requires the Customer to enter personal data that will be incorporated into a secure database managed by Keepser Group, strictly to process orders and facilitate new purchases through the website.

The personal data provided by Customers will be processed in accordance with the provisions of our privacy policy, in compliance with Andorran laws. See the following link.

A Customer may request access to their personal data and information at any time at dpd@keepser.com.

In addition, Customers have the opportunity to subscribe to receive information from Keepser Group by email or SMS.

The shipping price is calculated according to the selected shipping method and the parts purchased.

The total shipping price is calculated to include the items in the shopping cart.

It will appear on the final page summarizing the purchase before signing the order.

The Customer must confirm an order and the total associated price by clicking on the "Confirm Order" button.

The purchase can be paid by debit card (Visa, Visa Electron, MasterCard), credit card, or bank transfer. No other form of payment is accepted. The security of the payment is guaranteed by the Customer's financial institution.

Keepser Group will provide confirmation or denial of the transaction. An order confirmation or denial message will be sent by email to the address provided by the Customer with a description of the order. The contract for the sale of the Product is concluded after Keepser Group has confirmed the order.

 

  1. DENIAL OR PURCHASE

Keepser Group may deny an order for the following reasons, among others:

  1. a) When security systems indicate that the order may be fraudulent.
  2. b) If there is reason to believe that the Customer is under 18 years of age and does not have the authorization of his or her legal guardian.
  3. c) If the shipping policy does not authorize delivery to the specified address.

If the order is confirmed, the purchase is concluded by providing the Customer with an email and tracking number via a link sent to the email address provided. The Customer can access this information at any time via this link from his or her computer.

Once sent, shipping confirmation will be sent to the Customer by email.

 

  1. PRODUCT AVAILABILITY

Any confirmation and acceptance of orders by Keeper Group shall be subject to the availability of the Product within a reasonable delivery time. Keepser Group is free to confirm or deny orders as it deems relevant based on its Product availability.

 

  1. DELIVERY DATE

The Customer acknowledges that the actual Product delivery date may differ considerably from the estimated delivery date. If the shipment of a validated order is delayed for any reason, Keepser Group will inform the Customer by email within a reasonable time.

 

  1. EXPORT RESTRICTIONS

Products may be subject to export restrictions to certain countries. The products are distributed in the European Union member states and some other countries from the following list:

Cyprus, United Kingdom, Albania, Andorra, Aruba, Australia, Bahrain, Bosnia and Herzegovina, Canada, China, Colombia, Costa Rica, Curacao, Guatemala, Honduras, Hong Kong, Iceland, India, Indonesia, Japan, Jordan, Kazakhstan, Kuwait, Lebanon, Liechtenstein, Macao, Malaysia, Maldives, Mexico, Monaco, Nicaragua, Norway, Philippines, Qatar, Oman, Saudi Arabia, United Arab Emirates, United States of America, Panama, Russia, El Salvador, Serbia, Singapore, Switzerland, Turkey, Uzbekistan.

This list may be modified at any time without notice.

Keepser Group may not ship Products outside of this list of countries. The Customer expressly claims and warrants that it will defend and hold Keepser Group harmless against any claim related to the export or re-export of Products outside the countries listed.

Likewise, it is the responsibility of the Customer to verify the regulations regarding the importation of Products with the competent authorities, in accordance with the laws and regulations of the territory, state and/or country of delivery, and there may be some variation in the product due to these regulations.

 

  1. CANCELLATION OF ORDER

Keepser Group may cancel a confirmed order for the following reasons:

-Material impossibility of manufacturing or sending the Product ordered.

-Unexpected delay in Keepser Group's supply chain.

-Force majeure, as is common practice in international trade.

In this case, Keepser Group will inform the Customer by email and will fully refund the amount paid.

 

  1. PRICES AND PAYMENT

The price of the Products provided on the Website does not include shipping or import taxes. The shipping cost is added at the end of the purchase process, depending on the shipping method and destination selected. This could include customs clearance as defined by the carrier used for the shipment.

 

  1. TAXES

Possible import taxes or other local taxes are the full responsibility of the Customer and are not included in the final price payable to Keepser Group. Keepser Group is not obliged to check and inform the Customer of these additional taxes, royalties, customs duties, and/or additional duties.

The customer is responsible for the necessary documentation and payments to the competent authorities and bodies of the corresponding department, territory, state, and/or country of delivery, and shall defend and hold Keepser Group harmless against any claims related to these local taxes.

The prices of the Products on the Website use the Euro as their currency, whatever the location of the order or the shipping address. The customer assumes the cost of currency exchange and any other associated fees. Invoices are issued exclusively in euros.

 

  1. PAYMENT

The price indicated at the end of the order process is payable in full in a single installment at the time of purchase.

All bank charges for transmission and receipt are the sole responsibility of the Customer. The payment received by the Keepser Group must match the exact amount of the total price provided on the website.

If Keepser Group does not receive payment of the exact price of the Products purchased within 5 days, the order will be cancelled, and the Customer will be notified by email accordingly.

The Keepser Group accepts the means of payment defined on the website, including credit and debit cards (Visa, Visa Electron, MasterCard) and bank transfers.

 

  1. PAYMENT SECURITY

To ensure maximum security of the online payment system, Keepser Group uses and relies on the secure payment systems of financial institutions.

As a complementary measure to the "Secure Payment" system, and to contribute to preventing Internet fraud, the Keepser Group reserves the right to check the personal data provided by the Customer and take any measures it deems appropriate (including the cancellation of the order).

 

  1. PROHIBITION OF RESALE

Keepser Group does not allow the purchase of Products for later resale. Any warranty is immediately and automatically void in the event of unauthorized distribution or resale.

Companies interested in distributing or reselling Products should contact the sales department at info@keepser.com to be informed about the different options for distributing and/or reselling the Products.

 

  1. DELIVERY

At the time of delivery, the Customer is responsible for checking the good condition of the delivered Product.

If the Customer refuses delivery, he or she must notify order@keepser.com by email of the reason for the refusal within 48 hours of the delivery time.

Keepser Group will not accept any responsibility without a duly documented reason for this refusal.

Product orders will not be confirmed for delivery addresses using PO boxes or military base addresses.

In the unlikely event that a Product other than the one ordered is mistakenly sent to a Customer, Keepser Group will make a Product change and all logistical costs will be the sole responsibility of Keepser Group.

 

  1. TERMINATION AND RIGHT OF TERMINATION

The Customer has the right to terminate his or her sales contract within 7 days without the need for justification.

The termination period will expire 7 days after the Customer or after a third party indicated by the Customer other than the carrier acquires physical possession of the Product.

To exercise the right of termination, the Customer must inform Keepser Group by mail at info@keepser.com of his or her decision to terminate this sales contract by means of an unequivocal statement.

To comply with the termination period, the Customer merely has to send notification regarding the exercise of the right of termination before the end of the termination period.

 

  1. EFFECTS OF TERMINATION

If the Customer terminates its sales contract, Keepser Group will reimburse the Customer for all payments received from him or her, including shipping costs (with the exception of the final additional costs accrued by the Customer's choice of a different type of shipping other than standard delivery cost offered by Keepser Group) without undue delay and, in any case, no later than 14 days from the day on which Keepser Group is informed of the Customer's decision to terminate the sales contract. Keepser Group shall make this reimbursement using the same means of payment that the Customer used for the initial transaction, unless the Customer has expressly agreed otherwise; in any case, the Customer shall not incur any expenses as a result of this reimbursement.

The Customer must return the Product or deliver it to the Keepser Group, C/ Manuel Cerqueda i Escaler, Centre de negoci Andbank, AD700–- Escaldes-Engordany, Andorra, without undue delay and under all circumstances no later than 14 days from the day on which the Customer notifies Keepser Group of his or her termination of this sales contract. The deadline is met if the Customer returns the Product before the 14-day period has expired.

The Customer shall bear the direct costs of returning the Product.

The Customer is solely responsible for the decrease in the value of the Product resulting from handling other than what is needed to establish the nature, characteristics, and operation of the Product.

 

  1. MANUFACTURER'S PRODUCT WARRANTY

The scope of the manufacturer's warranty for Keepser Group products is international but is limited to the list of authorized countries provided on the website.  

The Customer has a period of two years from the delivery of the Product to request the manufacturer to repair the Products or replace them.

- Product compliance

Keepser Group will refund the price of the Product or exchange the Product for any lack of conformity of the Product at the time of delivery. The Product must be returned to Keepser Group in the state in which the Customer received it (with all its accessories, instructions, etc.) in a packaging that allows its transport in good condition.

KEEPSER GROUP is not responsible for any damages caused or that may occur, of any nature, arising from the use of the information, the content of the product and the programs that the user may incorporate into the products.

In no event shall KEEPSER GROUP, and its affiliates, be liable to you for any indirect, incidental, special, consequential, or punitive damages (including damages for loss of profits, goodwill or any other intangible loss) arising out of or related to your access to or use of the product supplied.

Nor shall it be liable for your loss, handling, or inability to access or use the product, or for any user material or content that the user has included in the product supplied. 

In case of damage or loss, the total and maximum liability assumed by KEEPSER GROUP and its subsidiaries will not exceed the total sum of the product supplied.

In compliance with the provisions of Qualified Law 29/2021, dated October 28, 2021, on the protection of Personal Data (hereinafter, "LQDP"), and with the regulations that develop it, users of this website are informed that any personal data provided to KEEPSER GROUP will be approved by it with the purposes and conditions defined in its Privacy Policy, the details of which can be viewed on this website. These conditions of sale are subject to Andorran legislation and are under the jurisdiction of its courts.
